William H. Cox
Mr. Cox obtained an MBA from Pace University in 1978, graduated from New York Law School in 1982 and received his LL.M. in Corporation Law from New York University Law School in 1994.
Mr. Cox specializes in corporate, commercial and intellectual property matters, including corporate and limited liability company matters, as well as all aspects of copyright and trademark work. His broad-based experience includes negotiating and drafting agreements in a wide variety of commercial, licensing and employment transactions, structuring financing and acquisition transactions and providing advice on regulatory matters.
Mr. Cox was most recently a founding partner of Gordon, Herlands, Randolph & Cox LLP where he headed up the Corporate and Intellectual Property Group for nineteen years. Prior to that he was a partner in the corporate group at Herzfeld & Rubin, P.C.
He began his career in the Legal Department of a major retailer where he worked on corporate acquisitions and dispositions. He also has extensive experience with respect to legal and regulatory matters concerning retailers and catalog merchants.

Peter J. Vranum
(Of Counsel)
Mr. Vranum received his undergraduate degree from Franklin & Marshall College and graduated cum laude in 1989 from New York Law School.
Prior to joining the Firm, he was Of Counsel to Gordon, Herlands, Randolph & Cox LLP and was previously associated with Harris Beach & Wilcox. Mr. Vranum specializes in intellectual property matters.
He is a member of and previously served as a director of the Danish American Society. Mr. Vranum is also a member of the Danish American Chamber of Commerce.

NICHOLAS WEISKOPF
IN MEMORIAM – January 2021
Mr. Weiskopf graduated magna cum laude in 1969 from Columbia University Law School, where he served as an Editor of the Law Review. Mr. Weiskopf was associated with Davis Polk & Wardwell and Poletti Freiden Prashker Feldman & Gartner.
He retired as Professor of Law, St. John’s University School of Law and also taught classes in Contract Law and Commercial Arbitration. He was also the author of “COMMERCIAL ARBITRATION: Theory and Practice” and numerous articles regarding commercial and securities law.
Mr. Weiskopf specialized in providing advice with respect to contract interpretation and enforcement and in commercial litigation and arbitration, with particular emphasis on contractual disputes.

William B. Randolph
(Of Counsel)
Mr. Randolph graduated magna cum laude from New England School of Law where he was a member of the Law Review.
After receiving his LL.M. in Taxation in 1976 from New York University Law School, Mr. Randolph served as a law clerk at the United States Tax Court in Washington, D.C. Mr. Randolph has extensive experience in the areas of tax litigation, tax and business planning, including mergers and acquisitions, and business transactions for entertainers.
Mr. Randolph is currently a partner at Gordon, Herlands & Randolph, LLP, and chairs its Tax and Entertainment Departments. He previously chaired the Tax Department of Herzfeld & Rubin, P.C., and served on the Executive Committee of the Tax Section of the New York State Bar Association.
Mr. Randolph is a frequent lecturer on tax issues.
